Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Individual Entrepreneur Oleksii Zinkevych ("alexich.ai", "we", "us", or "our") and govern your access to and use of the alexich.ai platform, websites, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

alexich.ai is a multi-tenant platform that runs and manages a development team composed of AI agents. You describe what you want built, and role-specialized AI agents collaborate through a ticket workflow to design, build, review, and ship software. The Service may connect to third-party tools you authorize, such as version-control providers and AI model providers.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information and for all activity under your account. You must keep your credentials confidential and notify us promptly of any unauthorized use.

Organizations may invite members and assign roles (such as admin or member). The organization and its admins are responsible for managing access and for the actions of their members.

3. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. You are responsible for the content, code, prompts, and instructions you submit, and for ensuring you have the rights to use them and to connect any repositories or third-party accounts.

4. AI-generated output

The Service uses large language models and autonomous agents to generate code, text, and other output ("Output"). AI Output may be inaccurate, incomplete, or unsuitable for your purpose, and similar Output may be generated for other users. You are responsible for reviewing, testing, and validating any Output before relying on or deploying it. We do not warrant that Output is correct, secure, non-infringing, or fit for any particular purpose.

As between you and us, and to the extent permitted by law and by the terms of the underlying model providers, we assign to you our rights in the Output generated for you. You are responsible for your use of Output and for compliance with the terms of any connected model provider.

5. Fees, credits, and payment

The Service is offered on a prepaid credit basis. You purchase credits that are held in your organization wallet and consumed as agents run. Pricing is described on our Pricing page and at checkout.

Payments are processed by Paddle.com Market Limited and its affiliates ("Paddle"), which acts as the merchant of record (reseller) for purchases made through the Service. Your purchase is therefore also subject to Paddle's buyer terms presented at checkout. Paddle handles billing, currency conversion, and the collection and remittance of applicable taxes (such as VAT, GST, or sales tax).

Depending on your project configuration, you may bring your own AI-provider API key (in which case you pay that provider directly for model usage) or use the platform's key (in which case model usage is billed against your credits). Refunds and cancellations are governed by our Refund & Cancellation Policy.

6. Third-party services

The Service integrates with third parties, including AI model providers (such as Anthropic), version-control providers (such as GitHub or a platform-managed GitLab), and our payment processor. Your use of those services is subject to their own terms and policies. We are not responsible for third-party services, and your authorization of an integration constitutes your agreement to its provider's terms.

7. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You retain ownership of the content and code you submit ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service.

8. Confidentiality and data

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, our Data Processing Agreement applies. We maintain reasonable technical and organizational measures to protect your data but cannot guarantee absolute security.

9. Service availability and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We may also update these Terms; material changes will be communicated by reasonable means, and your continued use after changes take effect constitutes acceptance.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, create risk or legal exposure, or use the Service in a way that could harm us or others. Where practical and lawful, we will provide notice. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

11. Disclaimers

The Service and all Output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that Output will be accurate or reliable.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to these Terms will not exceed the greater of the amounts you paid us for the Service in the three (3) months preceding the event giving rise to the claim, or fifty US dollars (US$50).

13. Indemnification

You will indemnify and hold us harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, your Output, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws rules. The courts located in Ukraine will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your country of residence.

15. Miscellaneous

These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
